     Edgewater Triangle Neighborhood Association(ETNA)
Constitution and Bi-Laws
As of: January 2003


     ARTICLE A: NAME The name of this organization shall be ETNA (Edgewater Triangle Neighborhood Association).


     ARTICLE B: BOUNDARIES The primary area of the Edgewater Triangle Neighborhood Association shall be between the south-west side of North Ridge Avenue, the north side of West Bryn Mawr Avenue, and the east side of North Clark Avenue, all within the City of Chicago, Illinois.
This area shall henceforth be referred to as ETNA.


     ARTICLE C: PURPOSE &ACTIVITIES
I. The purpose of ETNA shall be to create a sustainable urban community, united by geography and vested interests, committed to the betterment of the area and its people, organized to confront issues and problems, and to carry out activities that nurture a sense of community.
2. No part of the net earnings, if any, of ETNA shall be used to benefit any individual; no part of its capital assets, if any, shall be distributed to any individual or corporation organized for profit, upon liquidation.
3. ETNA shall not participate in any fund raising for any other organization, unless approved by a vote of the general membership.
4. ETNA shall not endorse any candidate or any political party.
5. ETNA shall have the authority to act with respect to other areas whenever such action is deemed necessary or appropriate for the achievement of its purpose or objectives.


     ARTICLE D: MEMBERSHIP
1. Any person or household shall be eligible for an Individual or Household Membership, respectively, if he/she/they meet the following requirements:
  a. He/she/they be at least eighteen years of age.
  b. He/she/they shall live or own property in ETNA.
  c. He/she/they shall own or operate a commercial business within the ETNA bounderies.
2. Any eligible person/household shall become a voting member, following his/her/their:
  a. Payment of annual dues, and
  b. Having attended at least one (1) ETNA general meeting in the previous 12 months.
3. Every Individual Member shall be entitled to one vote in all deliberations of the general membership. No Individual Member shall cast the vote of any other Individual Member in any meeting of ETNA.
4. Every Household Membership shall be entitled to two votes in all deliberations of the general membership. Any child who belongs to a household which has a Household Membership can exercise either franchise of his/her household if he/she is eligible to become an Individual Member (see above). Household partners have voting preference. No one member of a household may cast the vote of any other Household Member in any meeting of ETNA.
5. Members may cast their vote(s) on specific issues at Membership meetings, by proxy through written notification to a member of the Board of Directors prior to the meeting.
6. Any member may request that a vote be taken by secret ballot, and the general membership shall be obligated to vote by secret ballot.
7. The annual dues for an Individual Member and for a Household Membership is five (5) dollars, subject to change by recommendation of the Board of Directors and Ratification of the Membership following notification that a change in dues is to be slated as an agenda item for discussion.
8. The Membership year shall be from January lstt0 December 3 l~ of the following year.


     ARTICLE E: OFFICERS
1. All Officers shall be members of ETNA in good standing.
2. No elected public or party office holder or candidate for public or party office in city, county, state or national government may be an Officer.
3. Any Officer who during his/her term of office files a petition for any public office shall be considered to have vacated his/her office.
4. The Officers of ETNA shall be:
  a. President
  b. Vice President
  c. Secretary
  d. Treasurer
  e. Communication Director
  f. ETNA and external Committee Chairs and Representatives
5. The Office of President Shall be elected in October at the general meeting and the term shall be from the general meeting in November to the following November. No individual shall occupy the office of President for more than two consecutive terms.
6. All other officers shall be elected at the general meeting in November and their respective terms shall from December to the following December. No individual shall occupy the same office for more than two consecutive terms.
7. New ETNA Committees shall be formed on an as needed basis, subject to the approval by the General membership of ETNA.


     ARTICLE F: BOARD OF DIRECTORS
1. All Members of the Board of Directors shall be members of ETNA in good standing.
2. The Board of Directors shall be composed of the President, Vice President, Secretary, Treasurer, and Communication Director.
3. Each member of the Board of Directors shall serve as long as he/she holds office in ETNA itself.
4. The Board of Directors shall submit actions agreed upon during intervals between ETNA’s general membership meetings for approval at the next general membership meeting.
5. The Board of Directors may authorize expenditures of items not to exceed $25.00. All other expenditures must be approved at a general meeting.
6. Any action or recommendation of the board shall be brought before the next general meeting. The general membership shall approve of the Boards actions, or said action shall be reversed.
7. The President of ETNA shall be the Chairperson of the Board of Directors.
8. The Board of Directors shall have the authority to preliminarily approve actions on behalf of ETNA on an as needed basis during intervals between General Membership meetings, subject to approval by the General Membership at the following general Membership meeting.
9. The Board of Directors shall meet at the call of the President.


     ARTICLE G: MEMBERSHIP MEETINGS
1. A regular membership meeting of ETNA shall be held on the second Wednesday of each month of the year, excluding August.
2. Due notice of said meetings shall be distributed throughout the ETNA community.
3. Special meetings may be called by the President, or by the Board of Directors.
4. Ten members, including at least two officers, shall constitute a quorum at each general meeting.


     ARTICLE I: PARLIAMENTARY AUTHORITY
1. The rules contained in Robert’s Rules of Order. Revised, shall govern ETNA in all cases to which they applicable, provided that they are not inconsistent with these ByLaws.
